NASDAQ was launched on 8 February 1971 as the National Association of Securities Dealers Automated Quotations. It became the first electronic stock market, built around computer-displayed quotes rather than a physical trading floor. At first, it operated mainly as a quotation system, giving brokers and investors faster access to stock prices and improving transparency compared with traditional floor trading.

By the mid-1970s, NASDAQ began attracting technology companies that were often viewed as too risky for older exchanges. In the 1980s, its role expanded. In 1984, the NASDAQ 100 index was introduced, covering leading companies listed on the market. In 1985, the Small Order Execution System, or SOES, automated smaller trades and made the platform more accessible to individual investors.

In the 1990s, NASDAQ continued modernizing electronic trading and, in 1998, became the first exchange to offer online trading. In 2000, it reorganized and became a public company as dot-com shares drove the index to a record high before the market correction. In 2006, the US Securities and Exchange Commission recognized NASDAQ as a national securities exchange.

In 2007, NASDAQ acquired the Nordic exchange OMX, creating NASDAQ OMX and expanding its international reach. From 2008 to 2015, it bought the Boston Stock Exchange, the Philadelphia Stock Exchange, and Thomson Reuters units in investor relations, public relations, and multimedia services. In 2016, it acquired the International Securities Exchange, strengthening its options business. From 2020 to 2023, NASDAQ focused on blockchain, cloud technology, risk management, and data analytics.
